Welcome to Soku AI. These Terms & Conditions ("Terms") govern your access to and use of the Soku AI platform, website, APIs, and related services (collectively, the "Service") operated by About Intelligence Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete information, keep your login credentials secure, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

3. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms and any applicable plan or subscription. You may not:

  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to build a competing product or service.
  • Resell, sublicense, or share account access with unauthorized third parties.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service in violation of any applicable law or regulation.

4. Subscriptions and Billing

4.1 Plans

The Service is offered under various subscription plans, which may include free tiers, trial periods, and paid plans. Plan details, pricing, and feature availability are described on our website and may change from time to time.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms. We may use third-party payment processors; your use of those processors is subject to their own terms.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate accounts with overdue payments.

5. Your Data

5.1 Ownership

You retain all ownership rights to the data you submit to the Service ("Your Data"). You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.

5.2 Third-Party Integrations

The Service may connect to third-party advertising platforms, analytics tools, and other services. When you authorize such connections, you consent to Soku AI accessing and processing data from those platforms on your behalf. We do not control and are not responsible for third-party platforms' terms or practices.

5.3 AI-Generated Outputs

The Service uses artificial intelligence to analyze data and generate insights, recommendations, and reports ("Outputs"). Outputs are provided for informational purposes and should not be treated as professional financial, legal, or strategic advice. You are solely responsible for any decisions made based on Outputs.

6. Intellectual Property

All rights, title, and interest in the Service — including its software, algorithms, models, designs, trademarks, and documentation — are and remain the exclusive property of About Intelligence Inc.. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

7. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Confidentiality

Each party agrees to keep the other party's confidential information private and not to disclose it to third parties, except as required by law or with prior written consent. Confidential information does not include information that is publicly available through no fault of the receiving party.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, About Intelligence Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless About Intelligence Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party right.

12. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, and 14) will survive.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. General

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and About Intelligence Inc. regarding the Service.
  • Severability. If any provision is found to be unenforceable, the remaining provisions remain in full force.
  • Waiver. Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely.
